Terms and Conditions of Kem Bahrain W.L.L.
Effective Date: April 1st 2026 Welcome to Kem Bahrain W.L.L. (“we,” “us,” “our”). By accessing or using our services, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully.
- General Provisions
1.1 These Terms govern the use of our website, services, and products offered by Kem Bahrain W.L.L., a limited liability company incorporated in the Kingdom of Bahrain, with its registered office in the Kingdom of Bahrain and licensed (where applicable) by the Central Bank of Bahrain (“CBB”) to conduct regulated crypto-asset activities.
1.2 By using our services, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement.
1.3 These Terms are governed by the laws of the Kingdom of Bahrain and applicable regulations issued by the Central Bank of Bahrain.
- Services and Products
2.1 Kem Bahrain W.L.L. provides crypto-asset exchange services and facilitates the sending, buying, and selling of crypto-assets in accordance with applicable regulatory permissions.
2.2 We reserve the right to modify, suspend, or discontinue any aspect of our services subject to applicable regulatory requirements and, where required, notification to users.
2.3 Service availability is subject to operational, market, liquidity, and regulatory constraints. We are not liable for delays caused by blockchain congestion, third-party providers, counterparties, or force majeure events.
2.4 Optional Yield Access Feature
2.4.1 Nature of the Feature
Kem Bahrain W.L.L. may, subject to regulatory permissions and internal risk assessment, provide users with optional access to certain third-party decentralised finance (DeFi) or crypto-asset protocol features that may generate variable on-chain rewards (the “Yield Access Feature”).
Kem Bahrain W.L.L. does not:
• operate, manage, control, or guarantee any third-party protocol; • act as an investment manager, fund manager, deposit-taker, or collective investment scheme operator;
• provide investment advice or portfolio management services in connection with the Yield Access Feature.
The Yield Access Feature is optional and requires explicit user opt-in.
2.4.2 Non-Deposit and No Guarantee
Digital assets allocated to the Yield Access Feature:
• are not deposits; • are not savings accounts; • are not protected by any deposit guarantee scheme; • do not constitute bank deposits or regulated securities.
Any yield displayed is:
• variable; • dependent entirely on third-party protocol performance; • subject to market conditions; • not guaranteed.
Kem Bahrain W.L.L. does not guarantee capital preservation or return of principal beyond what is recoverable from the relevant protocol.
2.4.3 Risk Acknowledgment
By participating in the Yield Access Feature, you acknowledge and accept: • smart contract risk; • protocol failure risk; • liquidity risk; • counterparty exposure; • de-pegging risk; • regulatory intervention risk; • market volatility; • total or partial loss of digital assets.
You confirm that you understand crypto-asset yield products are inherently high-risk.
2.4.4 Role of Kem Bahrain W.L.L.
Kem Bahrain W.L.L.:
• acts solely as a technical facilitator enabling user-directed interaction with third-party protocols; • does not pool client assets for collective investment purposes; • does not exercise discretionary management over user allocations.
All allocations are made solely on user instruction.
2.4.5 Suspension or Termination
Kem Bahrain W.L.L. may suspend or terminate access to the Yield Access Feature:
• where required by regulatory instruction; • where risk conditions change materially; • where protocol risk increases; • where safeguarding concerns arise.
Reasonable notice will be provided where practicable.
- Orders and Payments
3.1 Transactions are confirmed upon blockchain validation or payment confirmation.
3.2 Fees and pricing will be disclosed in-app or on the platform prior to transaction confirmation.
3.3 Payments may be made through approved methods subject to regulatory compliance.
3.4 Kem Bahrain W.L.L. reserves the right to reject or cancel transactions in cases of suspected fraud, AML concerns, regulatory obligations, or payment failure.
- Consumer Rights
Consumers resident in the Kingdom of Bahrain shall have rights in accordance with applicable Bahraini consumer protection laws.
Withdrawal rights do not apply to executed crypto-asset transactions due to their irreversible and volatile nature.
- Liability
Liability is limited to the extent permitted under Bahraini law.
- Safeguarding of Client Digital Assets
6.1 Segregation of Client Assets
Kem Bahrain W.L.L. maintains internal controls designed to safeguard client digital assets in accordance with applicable regulatory requirements.
Client digital assets are:
• recorded separately from proprietary assets; • subject to internal ledger reconciliation procedures; • not treated as assets of Kem Bahrain W.L.L. for corporate purposes.
6.2 Custody Arrangements
Client digital assets may be held:
• in segregated blockchain wallet addresses; or • through regulated or approved third-party custodial service providers.
Where third-party custodians are used, Kem Bahrain W.L.L. conducts due diligence and ongoing monitoring of such providers.
6.3 Insolvency Treatment
In the event of insolvency of Kem Bahrain W.L.L.: • client digital assets held in segregated arrangements are intended to be treated separately from corporate assets; • clients remain beneficial owners of their digital assets, subject to blockchain and custodial constraints.
Recovery of digital assets may be subject to technical, legal, or custodial limitations.
6.4 No Interest or Ownership Transfer
Except where explicitly authorised by the user through optional features, Kem Bahrain W.L.L. does not use, rehypothecate, lend, or pledge client digital assets for its own account.
6.5 Operational Risk
Despite safeguarding measures, users acknowledge: • blockchain transactions are irreversible; • digital assets are subject to cyber risk; • technological failures may occur.
Kem Bahrain W.L.L. maintains security controls proportionate to operational risk.
6.6 User Obligations
Users agree not to: • Use our services for unlawful purposes. • Violate intellectual property rights associated with our products or services. • Provide false or misleading information during the registration or order process. • Users are responsible for ensuring the security of their account credentials and activities under their account.
- Data Protection and Intellectual Property
7.1 Our processing of personal data complies with Bahrain Personal Data Protection Law (PDPL) and applicable regulatory requirements. Please see our Privacy Policy for further information.
7.2 All content on our website, including text, images, and trademarks, is the intellectual property of Kem Technologies Holding Ltd. or licensed to us.
7.3 Unauthorized reproduction or distribution of our intellectual property is strictly prohibited.
- Dispute Resolution
8.1 These Terms are governed by the laws of the Kingdom of Bahrain.
8.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Bahrain.

9.1 We reserve the right to update or modify these Terms at any time. Changes will take effect upon publication on our website.
9.2 Users will be notified of significant changes via email or a prominent notice on our website.
